Terms of Service

Effective July 14, 2026

These Terms of Service (“Terms”) are a binding agreement between Keystone (“Keystone,” “we,” “us”) and the property management company, property owner, or other organization that subscribes to the Keystone platform (“Customer”), and each individual who accesses the platform under a Customer's account, including managers, front-desk staff, residents, and vendors (“Users”). By creating an account or using the service at keystonepm.app (the “Service”), you agree to these Terms.

1. The Service

Keystone provides a cloud-based property management platform, including manager, staff, resident, and vendor portals, and related features (packages, maintenance, community, payments, and similar modules). We may improve or modify features; we will not materially reduce core functionality during a paid term.

2. Accounts

Customers are responsible for the accuracy of account information, for managing which Users get access, and for all activity under their accounts. Users must keep credentials confidential. You must be at least 18 (or the age of majority in your state) to hold an account.

3. Subscriptions and Fees

The Service is offered on a subscription basis, billed monthly or annually as agreed in an order form. Fees are stated in the applicable order form or in-app pricing page and are exclusive of taxes. Fees are non-refundable except as required by law. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate.

4. Payments

Payment processing is provided by third-party processors (e.g., Stripe). By making payments through the Service (including rent or vendor payments), you also agree to the processor’s terms. Keystone is not a bank, money transmitter, or escrow agent; funds flow through the processor.

5. Customer Data

Customer and its Users retain all rights in data they submit to the Service ("Customer Data"). Customer grants Keystone a non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service, and to use de-identified, aggregated data to improve the Service. Customer is responsible for having the rights and consents needed to submit Customer Data (including resident information). Our handling of personal information is described in the Privacy Policy at keystonepm.app/privacy, which is incorporated into these Terms.

6. Keystone IP

Keystone and its licensors own the Service, including all software, design, and content other than Customer Data. Except for the limited right to use the Service under these Terms, no rights are granted. Feedback you provide may be used by Keystone without restriction or compensation.

7. Acceptable Use

You will not (a) reverse engineer, decompile, or copy the Service or attempt to extract source code; (b) probe, scan, or breach security or access data of other customers; (c) resell or provide the Service to third parties except as intended (e.g., resident access under a Customer account); (d) upload unlawful, infringing, or malicious content; (e) use the Service to violate fair-housing, landlord-tenant, or other applicable law; or (f) use the Service to build a competing product.

8. Third-Party Services

The Service may interoperate with third-party services (payment processors, smart-home integrations, etc.). Those services are governed by their own terms, and Keystone is not responsible for them.

9. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only as needed to perform under these Terms.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." KEYSTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KEYSTONE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. THE SERVICE IS A TOOL FOR PROPERTY OPERATIONS; IT IS NOT LEGAL, FINANCIAL, OR EMERGENCY-SERVICES ADVICE, AND IS NOT A SUBSTITUTE FOR CUSTOMER’S OWN COMPLIANCE OBLIGATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS IS CAPPED AT THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. These limits do not apply to a party’s indemnification obligations, breach of Section 9, infringement of the other party’s IP, or liability that cannot be limited by law.

12. Indemnification

Customer will defend and indemnify Keystone against third-party claims arising from Customer Data or Customer’s unlawful use of the Service. Keystone will defend and indemnify Customer against third-party claims that the Service, as provided, infringes U.S. intellectual property rights, with customary exclusions and remedies (modify, replace, or refund).

13. Term; Termination; Suspension

These Terms apply while Customer has an active subscription. Either party may terminate for uncured material breach on 30 days’ written notice. Keystone may suspend access for non-payment or security risk. On termination, Customer may export Customer Data for 30 days, after which we may delete it per our retention schedule.

14. Changes to Terms

We may update these Terms; material changes will be notified in-app or by email at least 30 days before taking effect. Continued use after the effective date is acceptance. Fee changes take effect at the next renewal.

15. General

These Terms are governed by New Jersey law, and disputes will be resolved in the state or federal courts located in New Jersey. Neither party may assign these Terms except to a successor in interest. If any provision is unenforceable, the rest remain in effect. These Terms plus any order form are the entire agreement. Notices to Keystone: hello@keystonepm.app.
